(hereinafter referred to as the "Provider")
1. General Provisions
1.1 These Terms and Conditions ("Terms") govern the rights and obligations between Jitka Klingenbergová ("Provider") and any individual or legal entity ("Customer") purchasing a licence for the Direct Edit software.
1.2 The Provider is not a VAT payer.
1.3 By completing a purchase, the Customer confirms they have read and agree to these Terms. The Terms form an integral part of the contractual relationship.
1.4 The Provider may update these Terms. Active customers will be notified of material changes by email. Continued use of the service constitutes acceptance of the updated Terms.
2. Subject Matter and Software Description
2.1 The subject of the contract is the grant of a non-exclusive, non-transferable licence to use Direct Edit — a visual content editor for static HTML websites.
2.2 Direct Edit enables: visual editing of content directly on the page, saving changes to HTML files, and dashboard management (for specific plans).
2.3 Direct Edit is installed locally on the customer's server. Customer files are not transmitted to the Provider's servers (except for licence verification and updates).
3. Licence and Plans
3.1 Licence types: Annual (valid for 12 months) or Lifetime (LTD — indefinite validity).

3.3 Installations: One installation means one domain/subdomain. Development domains (localhost, .local, .test, etc.) do not count towards the limit.
3.4 The licence is non-transferable. The Customer may not decompile, reverse-engineer, or modify the source code.
4. Order and Contract Formation
4.1 The contract is formed upon successful completion of payment.
4.2 Consumer Withdrawal: By purchasing digital content and consenting to performance commencing (activating the key), the Customer acknowledges that the statutory 14-day right to withdraw is lost. This is compensated by our voluntary guarantee in Section 6.
5. Pricing and Payment
5.1 Payment for an annual licence is a one-time fee. After 12 months, the licence automatically renews for another period based on a payment request sent to the Customer's email. The Customer is under no obligation to renew the licence; however, if the payment request is not settled, the licence will expire and the visual editing functionality will be deactivated (see Section 7.4).
5.2 Prices are listed in CZK or EUR. The Provider is not a VAT payer.
6. Money-Back Guarantee (45 Days)
6.1 We offer a voluntary 45-day satisfaction guarantee. If the tool does not meet your needs, email hello@directedit.dev for a refund.
6.2 Upon refund, the licence will be deactivated and the Customer must uninstall the software.
7. Licence Activation and Management
7.1 After an annual licence expires, saving new edits is disabled. The website remains unaffected for visitors.
7.2 Dashboard access is via a magic link. The Customer is responsible for securing the email account to which access links are delivered.
8. Support
- Starter: Response within 3 business days.
- Freelancer/Agency: Response within 1 business day.
8.3 Support does not cover hosting management, third-party software issues, or custom code modifications.
9. Software Updates
9.1 Updates are installed automatically in the background. The Provider reserves the right to modify features through updates and planned features.
10. Limitation of Liability
10.1 The software is provided "as is". The Provider does not guarantee uninterrupted service.
10.2 Backups: The Customer is solely responsible for data backups. The Provider is not liable for data loss resulting from failure to back up or environment incompatibility.
10.3 Total liability is limited to the amount paid by the Customer for the relevant licence.
11. Intellectual Property
11.1 Direct Edit and its components are the exclusive intellectual property of the Provider and are protected by copyright laws.
11.2 The Customer may not present the software as their own work or redistribute it.
12. Final Provisions
12.1 These Terms are governed by the laws of the Czech Republic.
12.2 Dispute Resolution: EU consumers may use the Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
